HAB Regime Monitor
License Agreement

HAB Regime Monitor End-User License Agreement

Effective date: October 17, 2026.

Effective date: the release date of version 1.0.0 (October 17, 2026). Also shown in the Software's About panel.

1. Agreement, acceptance and definitions

1.1 This End-User License Agreement (the "Agreement") is between Azimuth Group LLC, an Indiana limited liability company ("Azimuth," "we," "us"), and the person or entity that buys, downloads, installs or uses HAB Regime Monitor ("you").

1.2 You must accept this Agreement before you buy the Software, by checking the acceptance box on the sales page, before you can proceed to payment. You accept it again by clicking "I Agree" during installation, where you also confirm Section 1.3, and by installing or using the Software. If you do not agree, do not buy, install or use the Software.

1.3 You must be at least 18 years old. The Software is not offered or sold to residents of New Jersey, and you confirm on the sales page, before you can proceed to payment, and again during installation, that you are not one. If you are a New Jersey resident and buy the Software anyway, we may cancel your purchase and refund the price as described in Section 10.3, and your license ends. Until then, this Agreement governs your use. If you accept for a company, you confirm that you have authority to bind that company, and "you" includes it.

1.4 Definitions.

2. License grant

2.1 After you pay, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license, revocable only as stated in Section 18, to install and use the version of the Software you bought, for your own internal use, on one Windows computer that you own or control. One license covers one machine; a business that wants the Software on several machines buys one license for each. You may move the license to a replacement computer if you remove the Software from the old one.

2.2 The license lasts indefinitely for the version you bought, unless it ends under Section 18. Updates are covered in Section 11.

2.3 We license the Software to you. We do not sell it. We keep every right we do not expressly grant.

3. Restrictions

You may not, and may not let anyone else:

4. What the Software does and does not do

4.1 The Software is a market-data analysis and display tool. It collects Market Data with your own key and displays Readings, Estimates, a record of Estimates against outcomes, and replays of past sessions. Every user sees the same calculations from the same Market Data.

4.2 The Software does not and cannot:

5. Not investment advice

5.1 The Software provides information only. Nothing in it, in its documentation, on our website, in our emails or in our support replies is investment, trading, financial, legal or tax advice, or a recommendation of any security, option, futures contract, strategy or transaction.

5.2 We are not your adviser. Azimuth does not know your finances, objectives, risk tolerance or positions. Azimuth is not registered as an investment adviser, broker-dealer, commodity trading advisor or commodity pool operator with the SEC, CFTC, NFA, FINRA or any state. Buying or using the Software does not create an advisory, fiduciary or client relationship.

5.3 You make every decision. You alone decide whether and how to trade, and you alone are responsible for every order placed in your accounts and for its results.

5.4 We do not give personalized support about trades or positions, and we will not answer support questions that ask what to trade.

6. Readings, Estimates and calibration history

6.1 Readings and Estimates are outputs of statistical models built on Historical Index Data and run on your live Market Data. They can be wrong, late or missing, and sometimes will be.

6.2 Each Estimate is set once at the 9:30 a.m. Eastern open, is not updated during the session, and is graded after the close. An Estimate is a probability, not a prediction that a level will or will not be reached, and not a signal to trade.

6.3 The Calibration History shows how closely the model's Estimates matched what actually happened over 1,198 past sessions. It is back-tested: it was computed by running the model on Historical Index Data, not produced live during those sessions. It measures forecast calibration only. It is not a record of trading profits or losses, and no trading returns are implied. Past calibration does not guarantee future accuracy. Market conditions change, and models that worked in the past can stop working without warning.

6.4 Your Record is built only from the Market Data the Software collects on your computer after installation, and is kept separate from the Calibration History. It records Estimates and outcomes. It does not record, and cannot record, any trade, position or profit or loss.

6.5 The Software does not display trade results or profit and loss, and Azimuth's materials for the Software do not present any. Example screens in those materials are recorded past sessions, labeled as such.

7. Your market-data account and third-party services

7.1 The Software works only with a market-data account, with API access and a real-time options data subscription, that you obtain and pay for yourself. API access is something you apply for from your Data Provider and is granted under your Data Provider's own API terms, which you accept directly with them. Azimuth does not provide, resell or redistribute Market Data and is not a party to your agreement with your Data Provider.

7.2 You must keep your Data Provider account in good standing and follow its terms, including any rules on professional or non-professional data use and on use with third-party software.

7.3 You store your credentials on your own computer. We never ask for them, and you should never send them to us.

7.4 Market Data can be delayed, incomplete or wrong, and your Data Provider can change or shut off access at any time. Azimuth is not responsible for the accuracy, completeness, timeliness or availability of Market Data, for third-party fees or outages, or for changes your Data Provider makes that affect the Software.

8. Your Data Provider's software library and the order-code check

8.1 The Software does not include your Data Provider's software library. You install that library yourself, into the Software's environment, under your own agreement with your Data Provider; the Software's installer does not download or bundle it. Azimuth does not distribute, modify or license it, and is not responsible for it. The Software's documentation names the library version it was tested with and may approve later versions.

8.2 The Software never imports or calls the library's order-handling functions. It checks at every start whether any order-handling code of the library has been loaded into the Software's program and will not start if it has. The presence of that code on your computer, as part of a standard install of the library, does not by itself stop the Software. This check is part of the Software's design. You agree not to disable, bypass or modify it.

9. Your data stays on your computer; privacy

9.1 The Software runs entirely on your computer. Market Data and the records the Software creates are stored only there. The Software contacts no Azimuth server and sends nothing to Azimuth: no license checks, no update checks, no usage data, no telemetry. It connects only to the Data Provider you configure, under your own account.

9.2 You are responsible for securing your computer and API key and for backing up your data.

9.3 At purchase we receive your name, email and billing details from the payment processor. We use them to deliver the Software, send receipts and update notices, provide support, and meet tax and legal duties. We do not sell them. Our privacy notice at https://thehabreport.com/privacy explains how we handle this information, including anything you send us in a support request.

10. Price, sales tax, refunds and delivery

10.1 The price is the one shown at checkout, currently USD 200, paid once for the license in Section 2. Price changes apply only to future purchases.

10.2 Applicable sales tax is added at checkout where the law requires it. Other taxes on your purchase are your responsibility, except taxes on our income.

10.3 Refunds. All sales are final once the download link is delivered, except where the law requires otherwise. The requirements for using the Software, including the Data Provider account, API access and data subscription you need, are stated on the sales page before you can proceed to payment. This refund policy is shown at checkout before you pay. Where we issue a refund, it is the price you paid less the payment processor's fee, which we cannot recover, unless the law requires a full refund. Any sales tax you paid is refunded in full. If your download link does not work or a file is damaged, email support and we will send a working copy.

10.4 Payment is processed by a third-party payment processor under its own terms. We do not receive or store your full card or bank numbers.

10.5 Delivery. The Software is delivered only as a download. After your payment is accepted, the confirmation page shows the download link. Save the file; it is your copy. We may replace the link when a new version is released, and an earlier link may stop working. If you lose your copy or the link does not work, email support@thehabreport.com from the email address on your purchase and we will send a working link.

11. Updates and support

11.1 The Software does not update itself or check for updates. Your purchase includes the bug-fix updates we choose to release for the version you bought for 12 months after purchase, which you install yourself and which may come with updated terms. We may offer new major versions as a separate purchase. We have no duty to release updates.

11.2 Support is by email at support@thehabreport.com, for installation and product defects only. We answer when we can. We do not promise any response time, availability or fix, and we do not offer phone support.

11.3 We may change or remove features, or stop developing, selling or supporting the Software, at any time. That does not end your license to the version you already have, but changes by your Data Provider or to Windows may stop it from working.

12. Ownership and feedback

12.1 Azimuth and its licensors own the Software, its code, models, design, documentation and the HAB Regime Monitor name, including all intellectual property rights in them.

12.2 If you send us suggestions or feedback, we may use them for any purpose without owing you anything.

13. Third-party components

The Software includes third-party and open-source components governed by their own licenses, listed in the file NOTICES.txt included in the download. Nothing in this Agreement limits your rights under those licenses.

14. Trading risk

Trading options, including same-day (0DTE) SPX options, and futures involves substantial risk and is not suitable for everyone. You can lose your entire investment and, in some positions, more than you invested. Trade only with money you can afford to lose, and talk to a licensed professional before you trade.

15. Disclaimer of warranties

THE SOFTWARE AND ALL READINGS, ESTIMATES, DATA AND DOCUMENTATION ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT THE LAW ALLOWS, AZIMUTH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY OF CALCULATIONS OR ESTIMATES, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT ANY ESTIMATE WILL BE CORRECT, THAT DEFECTS WILL BE CORRECTED, THAT THE SOFTWARE WILL WORK WITH YOUR DATA PROVIDER, HARDWARE OR OTHER SOFTWARE, OR THAT USING THE SOFTWARE WILL PRODUCE ANY TRADING RESULT. ANY WARRANTY THE LAW IMPLIES DESPITE THIS SECTION DOES NOT APPLY TO THE EXTENT A DEFECT RESULTS FROM AN UNAUTHORIZED MODIFICATION. SECTION 16.5 SAYS HOW THIS SECTION APPLIES WHERE THE LAW LIMITS IT.

16. Limitation of liability

16.1 TO THE FULLEST EXTENT THE LAW ALLOWS, AZIMUTH AND ITS MEMBERS, MANAGERS, AGENTS AND CONTRACTORS ARE NOT LIABLE FOR ANY TRADING OR INVESTMENT LOSSES; ANY LOST PROFITS, REVENUE OR DATA; OR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING FROM THE SOFTWARE, MARKET DATA, READINGS, ESTIMATES OR YOUR TRADING DECISIONS, HOWEVER CAUSED AND EVEN IF ADVISED OF THEIR POSSIBILITY.

16.2 AZIMUTH'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THIS AGREEMENT OR THE SOFTWARE WILL NOT EXCEED THE AMOUNT AZIMUTH ACTUALLY RECEIVED FROM YOU FOR THE SOFTWARE, AFTER PAYMENT-PROCESSING FEES AND EXCLUDING SALES TAX.

16.3 AZIMUTH IS NOT LIABLE FOR ANY LOSS TO THE EXTENT IT RESULTS FROM AN UNAUTHORIZED MODIFICATION.

16.4 Sections 15 and 16 apply to the fullest extent the law allows. Nothing in Sections 15 and 16 limits any right that cannot be limited by contract, including liability for fraud or intentional misconduct and rights under consumer-protection statutes.

16.5 New Jersey. The Software is not offered or sold to New Jersey residents (Section 1.3).

17. Indemnity

You will defend and indemnify Azimuth and its members, managers, agents and contractors against third-party claims, losses and reasonable attorneys' fees arising from your breach of this Agreement; your misuse of the Software, including any use prohibited by Section 3; your breach of a broker or Data Provider agreement; your circumvention of the check in Section 8; or your violation of any law.

18. Term and termination

18.1 This Agreement lasts until it ends. You may end it at any time by uninstalling and deleting every copy of the Software.

18.2 Your license ends automatically if you breach Section 3 or 8, or if you do not pay, or reverse a payment, for the Software. For any other breach, we may end the license by email if you do not cure the breach within 10 days after we tell you about it.

18.3 When the license ends, you must stop using the Software and delete all copies. No refund is due on termination for breach. Sections 5, 6, 12 and 14 through 20 survive termination.

19. Governing law and disputes

19.1 Indiana law governs this Agreement, without regard to its conflict-of-law rules.

19.2 Any dispute relating to this Agreement or the Software will be heard in the state or federal courts for Johnson County, Indiana, and both parties consent to their jurisdiction and venue. If you are a Consumer, you may instead bring a claim in the courts of the state where you live.

19.3 JURY TRIAL WAIVER. TO THE FULLEST EXTENT THE LAW ALLOWS, EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES ANY RIGHT TO A JURY TRIAL IN A DISPUTE RELATING TO THIS AGREEMENT OR THE SOFTWARE.

19.4 To the fullest extent the law allows, any claim relating to this Agreement or the Software must be brought within one year after it arises.

19.5 The UN Convention on Contracts for the International Sale of Goods does not apply.

20. General terms

20.1 Entire agreement. This Agreement and the privacy notice are the whole agreement about the Software and replace any prior understanding. If anything shown at checkout conflicts with this Agreement, this Agreement controls.

20.2 Changes. We may update this Agreement for future purchases and updates. The version you accepted governs the version you bought, unless you accept a new version to get an update.

20.3 Assignment. You may not transfer this Agreement or your license without our written consent. We may transfer it as part of a sale or reorganization of our business.

20.4 Severability and waiver. If a court finds any part unenforceable, the rest stays in effect. A waiver must be in writing and applies only to the instance waived.

20.5 Force majeure. Neither party is liable for delays caused by events beyond its reasonable control.

20.6 Electronic acceptance. Accepting electronically has the same effect as a signed writing.

20.7 Export. You will not use or export the Software in violation of US export or sanctions laws.

20.8 Notices. Notices are given by email. We send notices to the email address you used at purchase; you send notices to Azimuth Group LLC at support@thehabreport.com. An email notice counts as received when it is sent, unless the sender receives a delivery-failure message, in which case the sender will resend it to any other address the recipient has given. You must keep the email address on your purchase current, and may change it by emailing us from the old address.
